PLEASE READ THIS AFFILIATE PROGRAM AGREEMENT CAREFULLY.

This Agreement outlines the terms and conditions of your participation in the Mommy Tummy Fix Affiliate Program (the “Program”). By applying to and participating in the Program, you agree to be bound by the terms of this Agreement.

This is a legal agreement between you (“Affiliate,” “you,” or “your”) and Mommy Tummy Fix LLC (“Mommy Tummy Fix,” “we,” “us,” or “our”). We reserve the right to update or modify this Agreement at any time.

Definitions

• Affiliate Link – A unique tracking URL provided to you, used to identify referrals from your website, social media, or other channels.
• Affiliate Lead – A customer prospect who clicks on your Affiliate Link.
• Customer – A user who signs up and purchases a subscription through your Affiliate Link.
• Commission – A fee earned for each eligible Customer Transaction as described below.
• Customer Transaction – A valid purchase made by a referred Customer that qualifies for a Commission.
• Affiliate Tool – The platform or system used to track referrals, commissions, and payments (e.g., ThriveCart, Rewardful, or similar).
• Program Policies Page – The official landing page that outlines program details, commission structure, promotional rules, and branding guidelines.
  Affiliate Eligibility & Acceptance

To become an Affiliate:

• You must submit an application.
• We will review and approve or reject your application at our discretion.
• Upon acceptance, this Agreement becomes binding and active.

We may revoke your Affiliate status at any time if you violate any terms or act in a way that may harm the reputation of Mommy Tummy Fix.

Commission & Payment Terms

Pricing & Promotion

• Regular pricing for the MTF app is $149 (one-time).
• As an Affiliate, you may offer your audience a special promotional price of $119 using a discount code.

Commission Rate

• You will receive 40% of net revenue for each eligible Customer Transaction made using your unique Affiliate Link and discount code.
• Net revenue is defined as the total purchase amount minus any service fees, transaction processing costs, taxes, and refunds.

Commission Eligibility

You are eligible to earn a commission if:

• The Customer is new and not already in our system.
• The Customer signs up and completes payment through your Affiliate Link.
• The purchase is not refunded or canceled.

Payouts

• Commissions are paid monthly, typically within 30 days of the close of the calendar month in which the transaction occurred.

Payment Requirements

To receive payment, you must:

• Have a valid payout method on file (e.g., PayPal or direct deposit).
• Complete all necessary tax documentation (e.g., W9 or W8-BEN, as applicable).

Forfeiture

If the above payout requirements are not fulfilled within six (6) months of a valid transaction, the related commission will be forfeited.

Promotion Guidelines

As a Mommy Tummy Fix Affiliate, you agree to:

• Clearly disclose your affiliate relationship when sharing or promoting your Affiliate Link.
• Never misrepresent the MTF app, pricing, outcomes, or user experience.
• Never offer unapproved personal bonuses, discounts, or incentives.
• Comply with all applicable laws and FTC guidelines for affiliate disclosures.

Trademark & Brand Use

You are granted a limited, non-exclusive, non-transferable license to use approved Mommy Tummy Fix trademarks, logos, and content solely for purposes of promoting the Program.

You may not:

• Alter or misuse any MTF brand assets.
• Use our branding in a way that implies false affiliation, endorsement, or ownership.
• Register domains, run paid ads, or create social profiles using the Mommy Tummy Fix name or likeness.

Intellectual Property & Usage Restrictions

All program materials, workouts, coaching calls, PDFs, graphics, and content contained within or associated with the Mommy Tummy Fix app, brand, or system are proprietary intellectual property of Mommy Tummy Fix LLC.

You agree:

• Not to reproduce, distribute, sell, repurpose, or otherwise use MTF content for any personal or business use beyond affiliate promotion.
• Not to teach, share, rebrand, or create derivative works based on any MTF systems, coaching materials, or exercises.
• To immediately discontinue use of any materials upon termination or request by Mommy Tummy Fix.

Violation of this clause may result in legal action and immediate termination of affiliate status.

Confidentiality

Any non-public information shared with you—including but not limited to customer data, earnings insights, unreleased features, and business strategy—must be kept strictly confidential and not shared without written permission.

Termination

This Agreement remains in effect until terminated by either party. It may be terminated:

• By either party at any time, with or without cause, via written notice.
• By us immediately if there is a breach of this Agreement or if your actions negatively impact the MTF brand.

Upon termination:

• You must discontinue use of all branding, affiliate links, and promotional assets.
• Valid commissions earned prior to termination will be paid out, unless forfeited due to breach.

Limitation of Liability

We are not liable for indirect, incidental, or consequential damages. Our maximum liability under this Agreement is limited to commissions earned in the twelve (12) months prior to any claim.

Independent Contractor Status

You are an independent contractor, not an employee or agent of Mommy Tummy Fix. Nothing in this Agreement creates a partnership, joint venture, or franchise.

Governing Law

This Agreement shall be governed by the laws of the State of Utah. Any disputes shall be resolved in the courts of Utah.

Entire Agreement

This document constitutes the full Affiliate Program Agreement and supersedes any prior agreements. We may update the Agreement or Program Policies from time to time. Updates will be communicated via email or affiliate portal.
